General conditions

 

1)      Preamble

 

Unless expressly agreed to the contrary, these general conditions will govern the commercial relationship between Netvoxtraduction translation agency, hereinafter “The Agency”, and the client. The client accepts the conditions contained herein upon placing the first order with the Agency. The possible invalidity of any provision will not affect the others.

2)      Order request

 

To be valid, the order must be made by e­mail and be confirmed electronically by the Agency.

3)      Modification/cancellation of the order

 

Generally, the client may only cancel the order in the event that the delivery date and its extension have exceeded all proportions. If the client cancels the order without authorisation, they will be obliged to pay the full amount according to the conditions agreed in the estimate. Cancellation must always be done in writing (e­mail or letter).  

4)      Payment

 

The prices and rates posted on the Website are not binding on the Agency and must always be understood, unless stated to the contrary, not to include VAT. Payment must be made by bank transfer or in cash within 20 days of the issue of the invoice. In some cases, payment of half or the full amount will be required. The discounts shown in the Agency’s estimates will only be valid if the requirements shown in the estimate are complied with. In the event that the client delays payment of the invoice, the Agency may charge interest. The person or association that has approved the estimate will always be directly liable for the payment.

 

5)      Delivery dates - Performance of the order

 

The delivery dates are only binding following express confirmation by the Agency. If the Agency is unable to comply with the stipulated delivery date, it must advise the client as soon as possible and agree a different delivery date. The delivery date will be considered not to have been complied with when the delay exceeds more than 3 hours and the client has advised the Agency of the situation in a demonstrable manner by e­mail or telephone an hour before. The Agency will not be responsible for delays caused by force majeure or other inevitable circumstances.

 

All orders or work will be performed in accordance with the general principles of the profession. When it wishes to do so or believes it necessary, the Agency reserves the right to contract the services of third parties. It is not obliged to advise the client of this. The client may not contact the third party employed by the Agency directly unless the latter agrees to it.

6)      Liability and complaint

 

The Agency may only be held responsible for its own negligence and never for an amount exceeding the fee for the corresponding order. In exceptional cases (force majeure etc.), the Agency reserves the right to cancel the order totally or in part. The client is obliged to verify that the data is free of all types of malicious code before sending it to and receiving it from the Agency. Claims made against the Agency must be made within a reasonable period following delivery (not more than two or three weeks). If the claim is justified, the Agency must correct the work in order to remedy the error. The Agency will not be liable for an amount exceeding five thousand euros per order.

7)      Copyright

 

The Agency reserves the rights of use and authorship of the translation. The client will be authorised to use and modify the material ordered once they have paid MONDO SERVICES. The client agrees that it possesses all the rights of authorship of the material to be handled. The Agency will not be liable for damages to third parties in respect of the rights of authorship.

 

8)      Delivery

 

The delivery will be the client’s responsibility, whether it is performed physically (messenger, mail etc.) or digital (e­mail etc.).

9)      Confidentiality - Data protection

 

The Agency agrees to maintain the confidentiality of all files supplied by the client when such are not in the public domain.

 

The client agrees that the Agency may store its data for administrative purposes. It may revoke this consent at any time. The Agency agrees not to supply it to third parties.

10)  Jurisdiction

 

The place of jurisdiction will be Caen (France).
